Marketplace Terms and Conditions

SUPPLEMENTAL TERMS FOR STRATEGY MARKETPLACE USERS

These Marketplace Terms and Conditions ("Marketplace Terms") supplement our general Terms of Use and govern your use of the Quantara Capital strategy marketplace. By subscribing to any strategy on our Platform, you agree to these Marketplace Terms in addition to our Terms of Use, Privacy Policy, and Risk Disclosure Statement.

1. MARKETPLACE OVERVIEW

1.1 Nature of the Marketplace

Quantara Capital operates a marketplace that connects users with independent Strategy Managers who create and manage automated trading strategies. Our role is limited to:

  • Providing the technology platform

  • Facilitating connections between users and Strategy Managers

  • Processing payments and subscriptions

  • Transmitting trade signals from strategies to user accounts

1.2 Platform Role

QUANTARA CAPITAL IS A TECHNOLOGY PLATFORM, NOT A FINANCIAL ADVISER. We:

  • Do NOT create, control, or manage the strategies offered by independent Strategy Managers

  • Do NOT endorse, recommend, or guarantee any strategy or Strategy Manager

  • Do NOT provide investment advice or recommendations

  • Do NOT vet, approve, or pre-screen strategies before publication

  • Are NOT responsible for strategy performance or trading results

1.3 User Responsibility

YOU ARE SOLELY RESPONSIBLE FOR:

  • Evaluating and selecting strategies appropriate for your situation

  • Understanding each strategy's methodology, risks, and historical performance

  • Monitoring your account and strategy performance

  • Determining your own risk tolerance and investment objectives

  • Making your own independent investment decisions

2. STRATEGY MANAGERS

2.1 Independent Contractors

All Strategy Managers are independent contractors, not employees or agents of Quantara Capital. They:

  • Create and manage their own strategies

  • Make their own trading decisions

  • Are solely responsible for their signals and performance

  • Have no fiduciary duty to users

  • Are not supervised or controlled by Quantara Capital

2.2 No Vetting or Approval

IMPORTANT: QUANTARA CAPITAL DOES NOT VET, APPROVE, OR PRE-SCREEN STRATEGIES OR STRATEGY MANAGERS. Anyone may become a Strategy Manager and publish strategies immediately. We do not verify:

  • Strategy Manager credentials or experience

  • Trading methodology or strategy viability

  • Historical performance accuracy

  • Suitability for any particular user

2.3 Strategy Manager Liability

Strategy Managers, not Quantara Capital, are responsible for:

  • Trading signals and strategy performance

  • Accuracy of strategy descriptions and disclosures

  • Losses incurred by users following their strategies

  • Compliance with applicable laws and regulations

  • Their own regulatory obligations (if any)

3. STRATEGY SELECTION AND SUBSCRIPTION

3.1 Choosing Strategies

When evaluating strategies, you should consider:

  • Strategy methodology and approach

  • Historical performance and drawdowns

  • Risk characteristics and volatility

  • Trading frequency and style

  • Minimum recommended account size

  • Use of leverage or margin

  • Types of securities traded

3.2 No Recommendations

WE DO NOT RECOMMEND ANY SPECIFIC STRATEGY. The availability of a strategy on our Platform does not constitute a recommendation or endorsement. Rankings, popularity metrics, or featured placements are informational only and not recommendations.

3.3 Subscription Process

To subscribe to a strategy:

  • Review the strategy's description, disclosures, and performance history

  • Accept the strategy-specific risk disclosures

  • Authorize the subscription fee

  • Confirm that your brokerage account is connected

  • Understand that trades will begin executing automatically

3.4 Multiple Subscriptions

You may subscribe to multiple strategies simultaneously. Be aware that:

  • Multiple strategies increase your overall exposure and risk

  • Strategies may have correlated positions that amplify losses

  • You are responsible for monitoring your aggregate risk across all strategies

4. SUBSCRIPTION FEES AND PAYMENTS

4.1 Fee Structure

Each strategy has its own subscription fee set by the Strategy Manager. Fees may include:

  • Monthly subscription fees

  • Quarterly or annual subscription options

  • Variable pricing based on strategy tier or features

4.2 Billing

By subscribing to a strategy, you authorize recurring charges to your payment method until you cancel. Fees are:

  • Charged in advance on a recurring basis

  • Non-refundable except as required by law

  • Subject to change with notice

4.3 Revenue Sharing

Subscription fees are shared between Quantara Capital and Strategy Managers. The revenue split is:

  • 70% to Strategy Manager

  • 30% to Quantara Capital (platform fees)

4.4 Cancellation and Refunds

You may cancel any strategy subscription at any time. Upon cancellation:

  • No new trades will be placed for that strategy

  • You remain responsible for open positions from that strategy

  • Subscription fees already paid are non-refundable except as required by law

  • Future billing will cease at the end of the current billing period

5. STRATEGY PERFORMANCE AND DISCLAIMERS

5.1 Performance Data

Strategy performance data displayed on the Platform may include:

  • Historical returns (actual or simulated)

  • Drawdown statistics

  • Win/loss ratios

  • Risk metrics

5.2 Past Performance Disclaimer

PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS. Performance data is historical only and does not guarantee or predict future performance. Your actual results may differ significantly due to:

  • Execution timing and slippage

  • Market conditions

  • Account size differences

  • Fees and commissions

  • Partial fills or missed trades

5.3 Hypothetical Performance

Some strategies may display hypothetical, backtested, or simulated performance. HYPOTHETICAL RESULTS HAVE SIGNIFICANT LIMITATIONS:

  • They do not represent actual trading

  • They are designed with benefit of hindsight

  • They do not account for market impact of actual orders

  • They may not reflect realistic slippage and commissions

  • Actual results are likely to differ materially

5.4 Live vs. Simulated Trading

Strategies may operate in:

  • Live Trading Mode: Real signals executed in Strategy Manager's live account

  • Paper Trading Mode: Simulated signals not actually executed

  • Transition Periods: Moving from paper to live trading

Performance during paper trading periods may not be indicative of live trading performance.

5.5 No Performance Guarantees

NO STRATEGY, STRATEGY MANAGER, OR QUANTARA CAPITAL GUARANTEES:

  • Profits or positive returns

  • Protection from losses

  • Specific performance outcomes

  • That historical performance will continue

6. RISKS OF MARKETPLACE STRATEGIES

6.1 General Strategy Risks

All strategies involve substantial risk, including:

  • Loss of Capital: You may lose some or all of your invested capital

  • Strategy Changes: Strategy Managers may change methodologies without notice

  • Strategy Termination: Strategy Managers may cease operations unexpectedly

  • Execution Differences: Your results may differ from published performance

  • Multiple Strategy Correlation: Strategies may have correlated risks

6.2 Strategy Manager Risks

Because Strategy Managers are independent and unvetted:

  • Inexperience: Strategy Managers may lack professional trading experience

  • Lack of Oversight: No regulatory body oversees Strategy Managers

  • Fraud Risk: Strategy Managers may misrepresent performance or credentials

  • Abandonment: Strategy Managers may stop generating signals without notice

6.3 Platform Risks

Using a marketplace platform involves risks including:

  • Technology Failures: Signal transmission or execution failures

  • Strategy Quality Variance: Wide variation in strategy quality and professionalism

  • No Due Diligence: Quantara Capital does not perform due diligence on strategies

  • Limited Recourse: Limited ability to recover losses from Strategy Managers

6.4 Influencer Strategy Risks

Some Strategy Managers may be social media influencers or public personalities. Additional risks include:

  • Promotional Bias: Influencers may oversell strategy benefits

  • Inexperience: Social media popularity does not indicate trading skill

  • Conflicts of Interest: Influencers may have undisclosed conflicts

  • Hype Cycles: Popular strategies may attract excessive capital and underperform

7. USER OBLIGATIONS

7.1 Due Diligence

You are responsible for:

  • Researching strategies before subscribing

  • Understanding strategy methodology and risks

  • Verifying Strategy Manager claims independently

  • Assessing suitability for your situation

  • Not relying solely on Platform-provided information

7.2 Account Monitoring

You must:

  • Monitor your account regularly

  • Review trades executed by strategies

  • Ensure adequate capital and margin

  • Respond promptly to margin calls

  • Unsubscribe from strategies that are not performing as expected

7.3 Risk Management

You should:

  • Not allocate more capital than you can afford to lose

  • Diversify across multiple strategies if using multiple strategies

  • Maintain adequate cash reserves for margin requirements

  • Set position size limits appropriate for your account

  • Have a plan for managing losing positions

8. PLATFORM DISCLAIMERS

8.1 No Endorsement

QUANTARA CAPITAL DOES NOT ENDORSE, RECOMMEND, OR GUARANTEE ANY STRATEGY OR STRATEGY MANAGER. Rankings, featured placements, or popularity metrics are not endorsements and do not indicate quality or suitability.

8.2 No Liability for Strategy Performance

QUANTARA CAPITAL IS NOT LIABLE FOR:

  • Losses from following any strategy

  • Strategy Manager fraud, negligence, or misconduct

  • Inaccurate or misleading strategy information

  • Strategy underperformance or failure

  • Strategy Manager abandonment or cessation

  • Correlation between multiple strategies

8.3 No Duty to Monitor

Quantara Capital has no duty to:

  • Monitor strategy performance

  • Verify Strategy Manager claims

  • Investigate Strategy Manager backgrounds

  • Supervise Strategy Manager activities

  • Remove underperforming strategies

However, we reserve the right to investigate complaints and remove strategies that violate our Terms or engage in fraud or market manipulation.

8.4 Platform "As Is"

The marketplace is provided "as is" without warranties of any kind. We do not warrant that:

  • Strategies will be profitable

  • Strategy Managers are qualified or competent

  • Strategy information is accurate

  • The Platform will operate without interruption

  • Signals will be transmitted without delay or error

9. DISPUTE RESOLUTION

9.1 Disputes with Strategy Managers

Disputes between users and Strategy Managers are between those parties. Quantara Capital is not a party to such disputes and has no obligation to mediate or resolve them.

9.2 Reporting Violations

If you believe a Strategy Manager has engaged in fraud, misrepresentation, or other misconduct, you may report it to us at inquiries@quantaracapital.ai. We will investigate at our discretion but are not obligated to take action.

9.3 Disputes with Platform

Disputes between users and Quantara Capital are governed by the arbitration and dispute resolution provisions in our Terms of Use.

10. STRATEGY REMOVAL AND TERMINATION

10.1 Strategy Manager Termination

Strategy Managers may terminate their strategies at any time. If a strategy is terminated:

  • You will receive notice (if possible)

  • Your subscription will be cancelled

  • You remain responsible for open positions

  • No refunds will be provided for unused subscription periods (except as required by law)

10.2 Platform Removal

We may remove any strategy at any time for:

  • Violation of our Terms or Code of Conduct

  • Fraud or market manipulation

  • User complaints or safety concerns

  • Regulatory requirements

  • Any reason or no reason

10.3 Effect of Removal

If a strategy is removed:

  • All subscriptions to that strategy are automatically cancelled

  • Users are notified of the removal

  • Open positions remain in user accounts

  • Strategy Manager revenue share ceases

  • No refunds are provided except as required by law

11. LIMITATION OF LIABILITY

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTARA CAPITAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM:

  • Your use of the marketplace

  • Losses from following any strategy

  • Strategy Manager conduct or performance

  • Strategy information or disclosures

  • Platform errors or failures

11.2 Cap on Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THE MARKETPLACE SHALL NOT EXCEED THE SUBSCRIPTION FEES YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11.3 Strategy Manager Liability

Strategy Managers, not Quantara Capital, are liable for losses arising from their strategies. Your remedies are against the Strategy Manager, not the Platform.

12. INDEMNIFICATION

You agree to indemnify Quantara Capital from claims arising from:

  • Your subscription to or use of any strategy

  • Your trading decisions

  • Your violation of these Marketplace Terms

  • Disputes with Strategy Managers

13. MODIFICATIONS

We may modify these Marketplace Terms at any time. Continued use of the marketplace after changes constitutes acceptance of the modified terms.

14. ACKNOWLEDGMENT

BY SUBSCRIBING TO ANY STRATEGY ON THE PLATFORM, YOU ACKNOWLEDGE THAT:

  1. You have read and understood these Marketplace Terms.

  2. You understand that Strategy Managers are independent contractors not employed or supervised by Quantara Capital.

  3. You understand that Quantara Capital does not vet, approve, or endorse any strategy.

  4. You are solely responsible for evaluating strategies and making your own investment decisions.

  5. You understand the substantial risks of following marketplace strategies.

  6. You accept that Strategy Managers, not Quantara Capital, are responsible for strategy performance.

  7. You will not hold Quantara Capital liable for losses arising from any strategy.
