IMPORTANT PAYMENT, CANCELLATION, AND NO-REFUND DISCLOSURE
This Refund Policy and No-Refund Policy ("Refund Policy") governs all payments, purchases, fees, charges, subscriptions, licenses, onboarding costs, activation costs, access fees, strategy-related charges, and other amounts paid or payable to Quantara Capital ("Quantara Capital," "Company," "we," "us," or "our") in connection with our website, platform, marketplace, software, applications, onboarding process, account activation, digital products, digital services, technology services, and related offerings (collectively, the "Services").
This Refund Policy is incorporated into and forms part of our Terms of Use, Marketplace Terms and Conditions, Strategy Manager Agreement, API Authorization and Trading Consent Agreement, Investment Disclaimer and Non-Advisory Disclosure, Risk Disclosure Statement, Privacy Policy, and any applicable checkout page, order form, invoice, payment screen, subscription authorization, onboarding form, clickwrap, electronic consent, or other agreement presented by Quantara Capital.
BY PURCHASING, PAYING FOR, RESERVING, ACTIVATING, ACCESSING, OR USING ANY OF THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THIS REFUND POLICY. IF YOU DO NOT AGREE, DO NOT PURCHASE, PAY FOR, ACCESS, OR USE THE SERVICES.
1. NATURE OF THE SERVICES
Quantara Capital provides digital access, software access, license-based access, marketplace access, onboarding-related services, administrative services, technology services, platform functionality, strategy-related connectivity tools, brokerage integration tools, automation tools, chatbot functionality, and other non-tangible services.
Quantara Capital does not sell physical goods. There are no physical products shipped to you that may be returned.
Because the Services include digital products, digital access rights, onboarding commitments, administrative work, technical provisioning, internal resource allocation, support allocation, account review, configuration processes, infrastructure usage, reserved capacity, proprietary systems access, and third-party processing costs, all payments made to Quantara Capital are final, fully earned, and non-refundable.
2. UNIVERSAL NO-REFUND POLICY
ALL PAYMENTS MADE TO QUANTARA CAPITAL ARE FINAL AND NON-REFUNDABLE.
This no-refund rule applies to all amounts paid to Quantara Capital, including without limitation:
Entry License Cost
Activation fees
Onboarding fees
Setup fees
Platform access fees
Subscription fees
Marketplace-related fees
Premium feature fees
Administrative fees
Service reservation fees
Waitlist, priority access, or early-access fees
Strategy access fees paid through the platform
Add-on service fees
Reinstatement fees
Upgrade fees
Renewal fees
Any other one-time, recurring, promotional, discounted, bundled, or custom fees
Once a payment is submitted, authorized, captured, settled, or otherwise processed, that payment is non-refundable, non-reversible, and not subject to cancellation, reimbursement, offset, or chargeback on the basis of dissatisfaction, non-use, partial use, delayed use, changed circumstances, or subjective expectations.
3. ENTRY LICENSE COST
THE ENTRY LICENSE COST IS STRICTLY NON-REFUNDABLE.
The Entry License Cost is charged in exchange for, and fully earned upon, one or more of the following:
Reservation of access to Quantara Capital's proprietary systems, platform, onboarding pipeline, marketplace, support capacity, and operational resources
Grant of a limited, revocable, non-transferable license to access certain portions of the Services
Internal review, onboarding preparation, account creation, administrative handling, compliance handling, and access provisioning
Allocation of technical, operational, customer support, vendor, and system resources
Access to confidential, proprietary, restricted, or limited-availability product environments, tools, workflows, or materials
Opportunity to use the Services, whether or not you later use them fully, partially, successfully, or at all
You acknowledge and agree that the Entry License Cost is not a security deposit, not a retainer held for your benefit, not escrowed, and not contingent on your usage, satisfaction, profitability, success, account funding, brokerage connection, strategy selection, or continued participation.
The Entry License Cost is deemed earned immediately upon payment, purchase commitment, provisioning, account activation, reservation, onboarding commencement, or any internal processing associated with your purchase.
4. NO REFUNDS FOR NON-USE, PARTIAL USE, OR USER DECISIONS
You will not receive a refund, reversal, credit, offset, or cancellation because:
You changed your mind
You no longer want the Services
You decided not to continue
You failed to complete onboarding
You failed to submit requested information
You failed to connect your brokerage account
You failed to activate your account
You failed to use your access
You only used part of the Services
You misunderstood the offer, despite available disclosures
You did not achieve your desired experience
You did not obtain expected business, financial, technical, educational, or operational results
You were dissatisfied for subjective reasons
You lacked technical knowledge, trading knowledge, or operational readiness
You became unable or unwilling to use the Services after purchase
You experienced internal business changes, staffing changes, vendor changes, cash-flow issues, or strategic changes
You later concluded that the Services were not suitable for your needs
Your failure to use the Services does not entitle you to a refund. Access, availability, reservation, provisioning, and readiness to provide the Services are sufficient consideration for all payments made.
5. NO REFUNDS BASED ON PERFORMANCE OR OUTCOMES
Quantara Capital is a technology platform and marketplace provider, not an investment adviser, broker-dealer, or fiduciary, and does not guarantee any financial, trading, commercial, operational, or strategic outcome [file:5][file:9].
Accordingly, you are not entitled to a refund because:
A strategy did not perform as hoped
Trading results were negative
You incurred losses
A Strategy Manager underperformed
You did not like a strategy
You unsubscribed from a strategy
Your execution results differed from expectations
Your account was unsuitable for a strategy
You misunderstood the risks of trading or automation
You decided the Services were not worth the purchase price after the fact
No refund is available based on performance, profitability, market conditions, slippage, drawdowns, strategy termination, dissatisfaction with third-party services, or any trading-related result [file:3][file:5][file:7][file:9].
6. NO REFUNDS FOR DELAYS, INTERRUPTIONS, OR THIRD-PARTY ISSUES
You acknowledge that the Services depend in part on third-party providers, including brokerages, technology partners, infrastructure providers, payment processors, and marketplace participants [file:7][file:9][file:11].
Accordingly, no refund, reversal, or payment cancellation will be issued due to:
Brokerage delays
Brokerage connection issues
Brokerage approval issues
API interruptions
Latency
Signal delays
Trade execution delays
Strategy Manager inactivity
Technology vendor outages
Payment processor issues
User device issues
Browser issues
Connectivity interruptions
Password or authentication problems
User-side configuration errors
Temporary service interruptions
Maintenance windows
Security reviews
Compliance reviews
Fraud reviews
Account restrictions or holds imposed under our agreements
7. SUBSCRIPTIONS, RENEWALS, AND CANCELLATIONS
If any part of the Services is offered on a recurring subscription basis, cancellation stops future recurring charges only after the applicable billing period, if permitted by the applicable subscription terms. Cancellation does not entitle you to a refund of any amount already charged.
All current and prior billing period charges remain non-refundable, including where:
You cancel after renewal
You forget to cancel
You do not log in during the billing period
You do not use the subscribed feature
You unsubscribe from a strategy after being billed
You disable your brokerage connection after being billed
You stop using the Services after renewal
If the Services include annual, quarterly, monthly, promotional, introductory, bundled, or discounted billing, all such payments are final and non-refundable once charged.
8. LICENSES, ACCESS RIGHTS, AND DIGITAL DELIVERY
Because Quantara Capital provides digital licenses, digital access rights, account availability, proprietary system access, and non-tangible services, you acknowledge and agree that:
Digital delivery may begin immediately upon purchase, activation, login availability, onboarding commencement, or account provisioning
Quantara Capital may begin performance immediately after purchase
The value of the Services includes readiness, reservation, provisioning, processing, and access, not merely active use
Once digital access or access preparation begins, the associated fees are fully earned and non-refundable
You waive any argument that a refund is owed merely because you did not maximize use of the digital access purchased.
9. CHARGEBACKS, PAYMENT DISPUTES, AND REVERSALS
YOU AGREE NOT TO INITIATE OR THREATEN A CHARGEBACK, PAYMENT REVERSAL, BANK DISPUTE, OR CARD DISPUTE FOR ANY CHARGE THAT IS VALIDLY AUTHORIZED UNDER THIS REFUND POLICY AND OUR RELATED AGREEMENTS.
Before initiating any payment dispute, you agree to contact Quantara Capital at inquiries@quantaracapital.ai and provide a reasonable opportunity to review the issue.
If you initiate a chargeback, reversal, or payment dispute for a valid charge, Quantara Capital reserves the right to:
Contest the dispute with your bank, card network, processor, or payment provider
Submit this Refund Policy, our Terms, checkout records, IP logs, usage logs, onboarding records, support records, click-acceptance records, invoices, and related evidence in response
Suspend or terminate your account and access to the Services
Revoke licenses, subscriptions, marketplace access, and platform permissions
Refuse future service
Recover damages, fees, administrative expenses, processor penalties, collection costs, arbitration costs, attorneys' fees, and related losses to the maximum extent permitted under our agreements and applicable law
If a payment dispute is resolved in Quantara Capital's favor, you remain responsible for all amounts due, plus any costs incurred by Quantara Capital in responding to or defending against the dispute.
10. FRAUD, ABUSE, AND PAYMENT RISK CONTROLS
Quantara Capital reserves the right to review transactions for fraud, abuse, misuse, unauthorized activity, suspicious behavior, policy circumvention, account manipulation, bonus abuse, promotional abuse, or chargeback risk.
Quantara Capital may, in its sole discretion:
Delay activation pending review
Request identity verification
Request additional payment verification
Refuse, cancel, or limit transactions
Suspend or terminate access
Block users, devices, cards, billing profiles, IP addresses, or accounts associated with payment risk
Report suspected fraud or abuse to payment processors, financial institutions, law enforcement, or relevant third parties
No refund will be due merely because Quantara Capital declines, delays, suspends, restricts, or terminates access due to payment risk, fraud concerns, policy enforcement, compliance concerns, or suspected abuse.
11. NO CASH REDEMPTIONS, CREDITS, OR OFFSETS
Payments to Quantara Capital are not redeemable for cash, not exchangeable for cash equivalents, and not eligible for unilateral offsets, deductions, holdbacks, or credits by the customer.
Quantara Capital has no obligation to provide:
Cash refunds
Partial refunds
Pro-rated refunds
Account credits
Service credits
Goodwill adjustments
Retroactive discounts
Billing reversals
Fee waivers after payment
Transfer of payments to another person, entity, or account
Conversion of one fee type into another
12. NO TRANSFERS OR ASSIGNMENTS OF PURCHASES
Unless Quantara Capital expressly agrees otherwise in writing, purchases, licenses, subscriptions, access rights, and onboarding rights are personal to the purchasing user or entity and may not be assigned, transferred, resold, sublicensed, shared, or credited to another account, person, or business.
The inability or unwillingness of the purchaser to use the Services does not create any right to transfer the purchase or demand a refund.
13. TERMINATION DOES NOT CREATE REFUND RIGHTS
If your account, subscription, access rights, or use of the Services is suspended, restricted, revoked, canceled, or terminated by you, by Quantara Capital, by a brokerage, by a technology provider, or by operation of law, no refund, reimbursement, or cancellation of charges will be issued.
This applies whether termination occurs due to:
Violation of our Terms
Suspected fraud
Payment disputes
Non-payment
Compliance or security concerns
Inactivity
User request
Business discontinuation by the user
Strategy removal
Marketplace disputes
Technical incompatibility
Brokerage restrictions
Regulatory concerns
Any other reason permitted under our agreements
14. PROCESSOR AND MERCHANT PROTECTION
You acknowledge that unauthorized or improper chargebacks, reversals, and payment disputes can cause substantial harm to Quantara Capital, including processor penalties, reserve requirements, higher processing costs, reputational harm, operational disruptions, and loss of merchant privileges.
You agree that this Refund Policy is intended in part to clearly disclose the no-refund nature of the Services and to reduce misunderstanding, payment disputes, and merchant processing losses.
You further agree that Quantara Capital may rely on:
Checkout disclosures
Order forms
invoice records
acceptance records
account activation logs
login records
usage logs
email confirmations
onboarding records
service availability records
support correspondence
IP address logs
payment authorizations
subscription records
as evidence that charges were knowingly authorized, disclosed, final, and non-refundable.
15. ACKNOWLEDGMENT OF DIGITAL SERVICE CHARACTER
You expressly acknowledge that:
The Services are digital, license-based, access-based, and service-based in nature
Quantara Capital begins incurring costs and allocating resources promptly upon purchase
The Entry License Cost and other charges are not contingent on any specific result
You are purchasing access, availability, provisioning, and service rights, not guaranteed outcomes
All fees are final and non-refundable
You have had the opportunity to review this Refund Policy before paying
16. CHANGES TO THIS REFUND POLICY
Quantara Capital may modify this Refund Policy at any time by posting an updated version through the Services or otherwise making it available to users. The updated version will become effective as of the stated effective date or posting date.
Any purchases made after the effective date of the updated Refund Policy will be governed by the updated version. Prior purchases remain governed by the version in effect at the time of payment unless otherwise determined by Quantara Capital.
17. INCORPORATION INTO OTHER AGREEMENTS
This Refund Policy supplements and is incorporated into Quantara Capital's other agreements. In the event of any perceived conflict, Quantara Capital may interpret and apply this Refund Policy together with its Terms of Use, checkout terms, subscription terms, order forms, and related agreements to preserve the final, non-refundable nature of payments to the maximum extent permitted under those agreements.

19. ACKNOWLEDGMENT
BY PAYING ANY AMOUNT TO QUANTARA CAPITAL, YOU ACKNOWLEDGE AND AGREE THAT ALL PAYMENTS ARE FINAL, FULLY EARNED, AND NON-REFUNDABLE, INCLUDING THE ENTRY LICENSE COST.
YOU FURTHER ACKNOWLEDGE THAT YOU WILL NOT BE ENTITLED TO A REFUND, CREDIT, REVERSAL, CHARGEBACK, OR REIMBURSEMENT FOR NON-USE, DISSATISFACTION, DELAY, PARTIAL USE, FAILURE TO ACHIEVE EXPECTED RESULTS, OR TERMINATION OF ACCESS.
