Terms & Conditions

1. ACCEPTANCE OF TERMS

By accessing or using the services, website, platform, or any related applications (collectively, the "Services") provided by Quantara Capital LLC ("Quantara Capital," "Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not access or use our Services.

These Terms constitute a legally binding agreement between you and Quantara Capital. Please read them carefully.

2. DESCRIPTION OF SERVICES

Quantara Capital provides a technology platform and marketplace that enables Users to:

  • Connect their existing brokerage account(s) at Interactive Brokers or other supported brokerages to automated trading strategies

  • Subscribe to trading strategies created by independent Strategy Managers

  • Create and publish their own trading strategies as Strategy Managers

  • Access an AI-powered chatbot for informational and educational purposes

Our platform utilizes proprietary technology and licensed software from third-party partners.

Important Clarifications

  • Quantara Capital is a technology platform and marketplace provider, not a registered investment adviser, broker-dealer, or commodity trading advisor.

  • We do not provide investment advice, recommendations, or personalized financial guidance.

  • We do not create, control, manage, vet, or endorse the trading strategies offered by independent Strategy Managers.

  • Strategy Managers are independent contractors, not employees or agents of Quantara Capital.

  • Our AI chatbot provides informational content only and does not provide investment advice.

  • We do not have custody of your funds or securities. Your assets remain in your brokerage account at all times.

  • We do not execute trades on your behalf. Trades are executed through your connected brokerage account based on signals from strategies you elect to follow.

  • We utilize licensed technology from third-party partners to provide our Services. Your use of our Services may be subject to additional terms and conditions from these third-party providers.

3. ELIGIBILITY

To use our Services, you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction)

  • Have the legal capacity to enter into binding contracts

  • Maintain a valid, funded brokerage account with Interactive Brokers or other supported brokerage

  • Not be prohibited from using such services under applicable laws or regulations

  • Not be a resident of any jurisdiction where use of our Services would violate local law

By using our Services, you represent and warrant that you meet all eligibility requirements.

4. ACCOUNT REGISTRATION AND SECURITY

4.1 Account Creation

To access certain features, you must create an account and provide accurate, complete, and current information. You agree to update your information promptly if it changes.

SMS / Text Messaging Terms

Program: By providing your mobile number and opting in, you consent to receive recurring promotional and account-related text messages from Quantara Capital LLC, including early-access waitlist updates, product launch announcements, and new-feature alerts.

Message frequency varies. Message and data rates may apply.

To opt out at any time, reply STOP. To get help, reply HELP, or email inquiries@quantaracapital.ai.

Carriers are not liable for delayed or undelivered messages. Consent to receive text messages is not a condition of any purchase.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Use strong, unique passwords

  • Not share your login credentials with any third party

  • Notify us immediately of any unauthorized access or security breach

4.3 API Connections

By connecting your brokerage account to our platform, you authorize the transmission of trade signals to your brokerage account. You understand that:

  • You are granting permission for automated trades to be placed in your account

  • You can revoke this authorization at any time through your account settings or by contacting us

  • Connection failures, delays, or errors may occur and may affect trade execution

5. RISK DISCLOSURES

5.1 Trading Risks

TRADING IN SECURITIES, OPTIONS, FUTURES, AND OTHER FINANCIAL INSTRUMENTS INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT SUITABLE FOR ALL INVESTORS.

You should carefully consider whether trading is appropriate for you in light of your financial condition, investment objectives, and risk tolerance.

5.2 Automated Trading Risks

Automated trading systems carry unique risks, including but not limited to:

  • Technology failures: Software bugs, connectivity issues, server outages, and hardware failures may prevent trades from executing properly or at all

  • Execution delays: Market conditions, system latency, or third-party service interruptions may cause delays between signal generation and trade execution

  • Strategy performance: Past performance of any trading strategy is not indicative of future results

  • Over-optimization: Strategies may be optimized for historical data and may not perform similarly in live markets

  • Market conditions: Strategies may perform differently in varying market conditions, including periods of high volatility, low liquidity, or unusual market events

5.3 No Guarantee of Results

WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE PERFORMANCE OF ANY TRADING STRATEGY, THE ACCURACY OF ANY SIGNALS, OR THE PROFITABILITY OF ANY TRADES. You may lose some or all of your invested capital.

5.4 Third-Party Dependencies

Our Services depend on third-party providers, including your brokerage (such as Interactive Brokers or other supported brokerages) and our technology partners. Additionally, trading strategies are created and managed by independent Strategy Managers who are not employees or agents of Quantara Capital. We are not responsible for any acts, omissions, failures, or delays by these third parties or Strategy Managers.

6. FEES AND PAYMENT

6.1 Subscription Fees

Use of our Services may require payment of subscription fees as described on our website. All fees are quoted in U.S. dollars unless otherwise specified.

6.2 Billing

By subscribing to our Services, you authorize us to charge your designated payment method on a recurring basis until you cancel your subscription.

6.3 Refunds

All fees are non-refundable except as required by applicable law.

6.4 Third-Party Fees

You are solely responsible for any fees charged by your brokerage (such as Interactive Brokers or other supported brokerages), our technology partners, or other third parties in connection with your use of our Services.

7. USER CONDUCT AND PROHIBITED ACTIVITIES

You agree not to:

  • Use our Services for any unlawful purpose or in violation of any applicable laws or regulations

  • Attempt to gain unauthorized access to our systems or other users' accounts

  • Interfere with or disrupt the integrity or performance of our Services

  • Reverse engineer, decompile, or attempt to extract the source code of our platform

  • Use our Services to transmit malware, viruses, or other malicious code

  • Resell, sublicense, or redistribute our Services without prior written consent

  • Misrepresent your identity or affiliation

  • Use automated scripts, bots, or other tools to access our Services (except as expressly authorized)

  • Manipulate or attempt to manipulate the AI chatbot to provide investment advice or recommendations

  • Post false reviews or ratings of strategies or Strategy Managers

  • Engage in market manipulation or fraudulent trading practices

Additional Rules for Strategy Managers: If you create and publish strategies on our platform, you must also comply with our Strategy Manager Agreement and Code of Conduct, which are incorporated into these Terms by reference.

8. INTELLECTUAL PROPERTY

8.1 Ownership

All content, features, and functionality of our Services—including but not limited to text, graphics, logos, software, and code—are owned by Quantara Capital or its licensors and are protected by intellectual property laws.

8.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal, non-commercial use.

8.3 Restrictions

You may not copy, modify, distribute, sell, or lease any part of our Services or included software without our prior written consent.

9. DISCLAIMERS

9.1 "As Is" Basis

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9.2 No Investment Advice

NOTHING IN OUR SERVICES CONSTITUTES INVESTMENT ADVICE, TAX ADVICE, LEGAL ADVICE, OR ANY OTHER FORM OF PROFESSIONAL ADVICE. You should consult with qualified professionals before making any investment decisions.

9.3 Third-Party Content

We do not endorse, guarantee, or assume responsibility for any third-party content, products, or services referenced through our platform.

10. LIMITATION OF LIABILITY

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTARA CAPITAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data

  • Trading losses

  • Losses arising from Strategy Manager conduct or strategy performance

  • Losses arising from reliance on AI chatbot information

  • Losses arising from strategy selection decisions

  • Business interruption

  • Cost of substitute services

ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 Cap on Liability

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

10.3 Basis of the Bargain

You acknowledge that the limitations of liability in this Section reflect a reasonable allocation of risk and are a fundamental basis of the bargain between you and Quantara Capital.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Quantara Capital and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of our Services

  • Your violation of these Terms

  • Your violation of any applicable law or regulation

  • Your violation of any third-party rights

  • Any trading decisions you make based on information from our platform

12. DISPUTE RESOLUTION

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of laws principles.

12.2 Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Services shall be resolved by binding arbitration administered by American Arbitration Association, in accordance with its rules then in effect. The arbitration shall take place in Las Vegas, Nevada, and judgment on the arbitration award may be entered in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND QUANTARA CAPITAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

12.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

13. TERMINATION

13.1 Termination by You

You may terminate your account at any time by contacting us at inquiries@quantaracapital.ai or through your account settings. Termination does not relieve you of any obligations incurred prior to termination.

13.2 Termination by Us

We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

  • Violation of these Terms

  • Fraudulent or illegal activity

  • Non-payment of fees

  • Extended periods of inactivity

  • Discontinuation of our Services

13.3 Effect of Termination

Upon termination, your right to use our Services will immediately cease. Sections 5, 9, 10, 11, 12, and 14 shall survive termination.

14. FORCE MAJEURE AND SERVICE AVAILABILITY

14.1 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, fuel shortages, utility failures, or communications failures.

14.2 Cessation of Operations

We are not required to continue providing Services in the event of:

  • Force majeure events as described above

  • Bankruptcy, insolvency, or cessation of business operations

  • Regulatory requirements or legal prohibitions

  • Other circumstances that make continued operation commercially impracticable or legally impossible

except as required by applicable law. In the event of permanent cessation of Services, we will make reasonable efforts to provide notice to users where commercially practicable.

15. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms, together with our Privacy Policy, Risk Disclosure Statement, Marketplace Terms and Conditions, AI Chatbot Disclaimer, Strategy Manager Agreement (if applicable), Code of Conduct (if applicable), and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Quantara Capital regarding your use of our Services.

15.2 Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

15.5 Notices

We may provide notices to you via email, posting on our website, or other reasonable means. You may contact us at:

15.6 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our Services after such changes constitutes acceptance of the modified Terms.

16. ACKNOWLEDGMENT

BY USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF USE.
